ECOSTRAT SOLUTIONS is currently inviting applications for the position of Governance Specialist to join their teams in the Kingdom of Saudi Arabia. Job Description and Responsibilities

The appointed Governance Specialist will perform a range of vital tasks focused on developing and implementing governance frameworks for the company's client organizations. Key responsibilities include:

  • Developing Governance Frameworks & Policies: Contributing to the design and development of corporate governance frameworks, policies and procedures, board and committee charters, and reporting templates to ensure alignment with global best practices and local standards.
  • Compliance & Review: Reviewing and assessing client compliance with relevant governance regulations and bylaws (such as the Corporate Governance Regulations issued by the Capital Market Authority, Digital Government Authority requirements, etc.), and providing necessary recommendations to address any gaps.
  • Board & Committee Support: Providing technical support in preparing board and committee meeting agendas, drafting minutes, and following up on the implementation of decisions.
  • Reporting: Preparing detailed reports on the state of governance within the organization, including effectiveness assessments and performance measurement against Key Performance Indicators (KPIs).
  • Training & Awareness: Contributing to the design and delivery of awareness and training programs for executives and board members on governance principles and the latest regulatory developments.
  • Research & Analysis: Conducting ongoing research on developments in governance laws and regulations locally and globally, and analyzing their potential impact on the firm's clients.

Qualifications and Requirements

To be a successful candidate for this position, you must meet the following criteria:

  • Educational Qualification: A Bachelor's degree in a relevant field such as Business Administration, Finance, Law, or Accounting. A postgraduate degree (Master's) or relevant professional certifications will be a strong advantage.
  • Work Experience: A minimum of 3 to 5 years of practical experience in corporate governance, compliance, or internal audit. Preference will be given to candidates with part of this experience in a consulting environment or a major corporation known for advanced governance practices.
  • Technical Knowledge: Deep knowledge of global governance principles and frameworks (e.g., OECD, King IV) and applicable local standards and regulations in Saudi Arabia. Familiarity with ESG (Environmental, Social, and Governance) reporting standards is a significant plus.
  • Personal Skills: Excellent written and verbal communication skills in both Arabic and English. Ability to analyze complex information and present it clearly and simply. Critical thinking and problem-solving skills. Accuracy and attention to detail. Ability to work independently and as part of a team.
  • Professional Certifications (Preferred): Holding recognized professional certifications in governance such as Chartered Governance Professional (CGP), Certified Internal Auditor (CIA), or risk management will significantly enhance a candidate's profile.
