Job Overview

The Head Of Corporate Governance will be the primary officer responsible for designing, implementing, and monitoring the organization's comprehensive governance framework. This role serves as a vital link between the Board of Directors, executive management, shareholders, and regulatory bodies.

Key Responsibilities and Duties

  • Governance Framework Leadership: Develop, update, and maintain corporate governance policies and procedures, ensuring their understanding and implementation across all organizational levels.
  • Board Support: Provide advisory support to the Board of Directors and its committees (e.g., Audit Committee, Nomination & Remuneration Committee), including agenda preparation, briefing papers, follow-up reports, and ensuring smooth operations.
  • Compliance & Monitoring: Monitor compliance with relevant Capital Markets Authority regulations (if applicable) and Kuwaiti commercial laws, identify compliance risks, and develop mitigation plans.
  • Governance of Information: Ensure the accuracy, transparency, and reliability of financial and non-financial reporting to shareholders and stakeholders.
  • Training & Awareness: Design and deliver awareness and training programs for executives and board members on their duties and corporate governance best practices.
  • Shareholder Relations Management: Contribute to enhancing communication with shareholders regarding governance matters.

Required Qualifications and Experience

To be an ideal candidate for this leadership role, you should meet the following criteria:

  • Educational Background: A Bachelor’s degree in Law, Business Administration, Finance, or a related field. A Master’s degree (e.g., MBA) or a relevant professional certification is a significant competitive advantage.
  • Professional Experience: A minimum of 8 to 10 years of relevant experience in areas such as corporate governance, compliance, internal audit, or legal affairs within a major corporation. Part of this experience should preferably be within a Gulf Cooperation Council (GCC) work environment, with a solid understanding of the Kuwaiti regulatory context.
  • Technical Knowledge: In-depth knowledge of local (Kuwaiti) and international corporate governance principles and regulations. Familiarity with the structure and workings of boards of directors and their committees.
  • Personal Skills: Exceptional written and verbal communication skills in both Arabic and English. High analytical and complex problem-solving abilities. Absolute integrity, credibility, and the ability to handle sensitive information with utmost confidentiality. Strong leadership and influencing skills.
  • Professional Certifications: Professional qualifications such as ICSA (Chartered Governance Institute) or equivalent in corporate governance are a strong asset.
